Service Agreement
These Terms of Service ("Terms") constitute a legal agreement between you ("Client") and
Explorer Tech ("Company", "we", "us", "our") for the provision of digital services including
web development, IT support, cybersecurity, and cloud solutions.
By engaging our services, accessing our website, or signing a service contract, you acknowledge
that you have read, understood, and agree to be bound by these Terms.

Client Responsibilities
As our client, you agree to:
Information and Access
- Provide accurate, complete, and timely information required for service delivery
- Grant necessary access to systems, accounts, and resources
- Respond to requests for information within reasonable timeframes
- Designate appropriate contact persons with decision-making authority
Content and Materials
- Provide content, images, and materials in required formats and specifications
- Ensure all provided content is legally compliant and properly licensed
- Review and approve deliverables within specified timeframes
- Maintain backups of critical data and content
Compliance and Cooperation
- Comply with all applicable laws and regulations
- Cooperate with security requirements and best practices
- Participate in scheduled meetings and project communications
- Test deliverables and provide feedback promptly
Payment Terms
Pricing and Invoicing
- All prices are quoted in USD or local currency as specified in contracts
- Invoices are issued according to project milestones or monthly for ongoing services
- Payment terms are Net 30 days unless otherwise specified
- Late payments may incur interest charges of 1.5% per month
Additional Costs
- Third-party services, licenses, and hosting costs are billed separately
- Rush jobs may incur additional charges (minimum 25% premium)
- Scope changes require written approval and may affect pricing
- Travel expenses for on-site work are billed at cost
Payment Policy
Services may be suspended for accounts overdue by more than 30 days.
We reserve the right to require payment in advance for new projects if payment history indicates risk.
Project Management and Delivery
Timelines and Milestones
- Project timelines are estimates based on information available at project start
- Delays caused by client-side factors may extend delivery dates
- Major scope changes may require timeline renegotiation
- We will communicate promptly about any potential delays
Testing and Acceptance
- Clients have 10 business days to test and review deliverables
- Minor bug fixes are included in initial delivery
- Major functionality changes require separate project scope
- Final acceptance is required in writing before project completion
Intellectual Property Rights
Client Content and Materials
You retain all rights to content, materials, and intellectual property that you provide.
You grant us a limited license to use these materials solely for the purpose of delivering contracted services.
Developed Materials
- Custom code and designs created specifically for you become your property upon full payment
- General methodologies, techniques, and know-how remain our intellectual property
- Third-party components are licensed separately and subject to their respective terms
- We retain the right to use general knowledge and experience gained from projects
Portfolio and Marketing Rights
We may showcase completed work in our portfolio and marketing materials unless
you specifically request confidentiality in writing. We will not disclose confidential
business information or sensitive details.
Warranties and Limitations
Service Warranty
- We warrant that services will be performed with professional competence
- We will correct defects in workmanship at no charge for 30 days after delivery
- We do not warrant third-party services, software, or hosting platforms
- No warranty is provided for issues caused by client modifications or external factors
Limitation of Liability
Liability Cap
Our total liability for any claim shall not exceed the total amount paid by client
for the specific service giving rise to the claim, or $10,000, whichever is less.
Excluded Damages
We shall not be liable for indirect, incidental, special, consequential, or punitive damages,
including but not limited to loss of profits, data, or business opportunities.
Termination
Termination by Client
- You may terminate services with 30 days written notice
- You remain liable for all work completed and costs incurred
- Refunds are not provided for completed work or third-party costs
- We will provide deliverables for work completed to date
Termination by Company
- We may terminate for non-payment after 30-day notice
- We may terminate immediately for material breach of agreement
- We may terminate with 30 days notice for operational reasons
- Upon termination, you receive deliverables for paid work
Data Protection and Confidentiality
Confidential Information
We agree to maintain the confidentiality of your proprietary information and data.
This includes business plans, customer lists, technical specifications, and any information
marked as confidential.
Data Security Measures
- We implement appropriate technical and organizational security measures
- Access to client data is restricted to authorized personnel only
- We maintain backup and disaster recovery procedures
- We comply with applicable data protection regulations

Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts
beyond reasonable control, including but not limited to natural disasters, government actions,
pandemics, internet outages, or other unforeseeable circumstances.
Dispute Resolution
Good Faith Negotiation
The parties agree to attempt to resolve any disputes through good faith negotiation
before pursuing formal legal action.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Togo.
Any legal proceedings shall be conducted in the courts of Lomé, Togo.

Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be
communicated to active clients via email and posted on our website. Continued use
of our services after changes constitutes acceptance of modified Terms.
